James Millea BA, LLB - Senior Associate

James Millea practices in the Business and Commercial and Corporate Teams and the Property Team.

James has a strong depth of experience in General Commercial Transactions including Buy & Sell of Businesses, Commercial Leasing, Commercial Documentation ( including with respect to IT issues), Licensing & Maintenance Agreements, Escrow Agreements, Consultancy and Employment & Service Agreements for Employers.

James provides advice on Corporate and Trust Structures including Discretionary Family Trusts, Unit Trusts, Tax Advice related to Commercial Transactions, General Corporate Advice with respect to Partnerships, Directors Duties, Shareholder Disputes, Shareholder Agreements, enforcing Contractual Arrangements, Liquidation Proceedings, Negotiations and Documentation of Contracts, and advice regarding Franchises.

In addition James carries out commercial work including the negotiation and drafting of Confidentiality Agreements, Service Level Agreements, (including Disaster Recovery Plans), Software Licence & Maintenance Agreements, Strategic Alliance Agreements, advice on Copyright and Trademarks, and the Trade Practices Act.

He has acted for a number of companies including in the IT industry on Intellectual Property issues Sale & Purchase of Businesses including Mergers and Acquisitions, Structuring for Asset Protection and Tax and Finance Security.

James has extensive experience in complex Real Estate Conveyancing (both domestic and commercial), including both Old System and Qualified Title, Subdivisions (both Rural and Residential), Mortgages (both Commercial & Domestic) acting on behalf of both Mortgagors and Mortgagees including Reverse Mortgages. James acts for developers in all phases of real estate development.
